The client had a working product with 8,000 active users but was struggling to close his round. He had term sheets from two UK angels but needed a Gulf anchor investor to credentialize the raise for his African institutional partners. He also had a structural issue: his UAE entity, which he intended to be the fundraising vehicle, had been set up incorrectly with a share structure that did not accommodate the SAFE notes his UK lawyers had drafted.
We identified the structural conflict and coordinated with his UK lawyers on a corrected structure for the UAE entity. We prepared the investor memorandum for the Gulf market, reframing the opportunity in terms that resonated with Gulf family office investment criteria rather than UK VC criteria. We made introductions to three Gulf family offices with prior fintech investments.
