    Situation

    The investor had flagged the informal contractor arrangement as a risk during due diligence. The startup had no South African entity and converting the arrangement required compliance with South African employment law, including written contracts, UIF registration, and PAYE obligations. The client had 30 days to resolve the matter before the investor's deadline.

    What We Did

    We implemented an Employer of Record arrangement in South Africa, converting the freelance contract to a formal employment agreement, registering the employee for UIF and PAYE, and providing the startup with a clean employment confirmation letter for their investor data room. We completed the full setup within 3 weeks.

    Outcome

    Employment formalised. Investor due diligence satisfied. Series A closed on schedule. The startup has since requested EOR support for a second South African hire.
