Letting a licence lapse does not close a UAE company. This guide covers the order of steps for a free zone company, the corporate tax and VAT deadlines, and what slows liquidation down.

How to Close a UAE Company: Deregistration and Liquidation

Closing a UAE company is a sequence, and the order matters. Visas, tax registrations, the bank account and the licence each depend on another being finished first. Skipping a step usually shows up later as a blocked cancellation, a tax penalty or a bank that will not release the account.

Letting the licence expire does not close the company

Meydan Free Zone answers this directly: licence expiry does not close the legal entity. The company may still face renewal obligations, administrative penalties, tax filing requirements and banking compliance risks until it is formally liquidated.

The sequence for a free zone company

The UAE government portal describes closing a free zone company as a structured process handled by the relevant free zone authority. It typically involves passing a shareholder resolution to close the business, cancelling all employee and investor visas, settling outstanding financial obligations, and deregistering with the Federal Tax Authority if applicable. The company then submits a licence cancellation or liquidation application with the required clearances, and the authority issues a final deregistration certificate.

    1. Pass a signed shareholder resolution to dissolve the company.
    2. Cancel the visas of every employee and investor. Meydan says the free zone will not process termination until sponsored visas are cancelled.
    3. Pay end of service gratuity, unpaid salary and leave balances.
    4. Prepare final accounts and, where the free zone requires one, a liquidation report from an independent UAE registered auditor.
    5. Close the bank account and obtain the closure letter.
    6. Apply for tax deregistration and submit the licence cancellation application.
    7. Receive the final deregistration certificate and keep it permanently.

Each free zone has its own procedure and document list, so ask your authority for its checklist before you start. Meydan says liquidation typically takes 2 to 16 weeks with it, depending on employees, bank accounts, tax registrations, liabilities and the number of clearances.

    Corporate tax deregistration

A juridical person must file a corporate tax deregistration application within 3 months of the date the entity ceases to exist, ceases business, is dissolved or is liquidated. The Federal Tax Authority guide adds that, to be deregistered, a taxable person must meet all compliance obligations, such as filing all relevant tax returns and paying all corporate tax liabilities and administrative penalties due.

    • The service is free of charge and is applied for on the EmaraTax platform.
    • The Authority processes the application within 40 working days from receipt of the completed application.
    • If more information is requested and you do not resubmit within 60 calendar days, the application may be rejected.
    • For liquidation or bankruptcy the documents include the licence cancellation document and financial statements up to and including the licence cancellation date.

Because the 3 month clock runs from the cessation or liquidation, do not leave the tax step until after the licence is cancelled. Ask your free zone and your accountant which date applies to your company.

    VAT deregistration

If the company is VAT registered, the Federal Tax Authority page says the deregistration application must be submitted within 30 business days from the date the deregistration obligation arose, and the Authority completes it within 30 business days of receiving the application. Outstanding VAT returns should be filed and any VAT owed paid first.

    Plan the timeline backwards

Start with the item that takes longest to clear. Visa cancellation and the bank closure letter often gate everything else, and tax deregistration cannot be completed until returns are filed and liabilities are paid. Keep the final accounts, the licence cancellation document, the tax deregistration confirmation and the free zone certificate together in one folder. Banks, future licensing authorities and tax advisers may ask for them later, and our advice is to keep them permanently.

If the company cannot pay its debts

Meydan notes that where a company cannot pay its debts, insolvency rules under UAE Federal Law No. 9 of 2016 apply, a court appointed liquidator is required and creditors must be formally notified before assets are distributed. Take legal advice early in that situation.

    Where DBC fits

DBC sets companies up and can point you to the right party for closure. If you are choosing a zone with an exit in mind, compare the closure documents each authority asks for. DBC packages start from USD 1,948 (AED 7,150) in AFZ and from USD 5,313 (AED 19,500) in Meydan Free Zone. See /pricing or /pricing/calculator.

A UAE closure does not settle your tax position in your home country. If you are tax resident elsewhere, take advice there about the closure and any distribution to you.
