UK consultants and contractors often hear that a UAE company solves the tax question on its own. It does not. Your UK tax position turns on whether HMRC treats you as UK resident, and on how your client relationship is classed. A UAE company can be a sound base for the right work. It is not a switch that turns UK tax off. This article uses HMRC's published guidance to show what moves and what stays put.
Residence is decided by days and ties, not by a company
HMRC says your UK residence usually depends on how many days you spend in the UK in the tax year, which runs from 6 April to 5 April. You are resident only if you meet one or more of the automatic UK tests or the sufficient ties test, and you do not meet any of the automatic overseas tests.
The automatic UK tests include spending 183 or more days in the UK in the tax year. On the other side, you are usually non resident if you spent fewer than 16 days in the UK, or 46 days if you have not been UK resident in the 3 previous tax years. A second overseas route applies if you work abroad on average at least 35 hours a week and spend fewer than 91 days in the UK, with no more than 30 of them spent working. None of these tests asks where your company is registered. If your days and ties say resident, you are resident.
HMRC states that residents normally pay UK tax on all their income, whether from the UK or abroad, while non residents only pay tax on their UK income. That is why the residence answer comes before the company question.
Coming back: temporary non residence
If you return to the UK after a period of temporary non residence, you may need to pay tax in the year you return on certain income and gains you received during that period. HMRC sets the dividing line at 5 years: the period of non residence must be longer than 5 years, that is 5 years plus one day, for the special rules not to apply. If you may return within five years, take UK advice on this before you take dividends from a UAE company.
IR35 follows the engagement
The off payroll working rules, known as IR35, make sure a worker pays broadly the same Income Tax and National Insurance as an employee would. HMRC says they apply if a worker provides services through their own intermediary, usually a limited company, and would have been an employee if providing those services directly to the client. A UAE company can be that intermediary. The rules look at the working relationship with the client, so changing the country of the intermediary does not by itself remove the question. In most cases the client is responsible for determining the worker's status.
If your client is a UK business, expect it to apply its own status determination to your contract. Ask for that determination in writing, and get UK advice before you assume your UAE company is outside the rules.
What the UAE company does change
It gives you a UAE licence and a UAE tax position for the company itself. UAE corporate tax is 0% on taxable income up to AED 375,000 and 9% above it. A Qualifying Free Zone Person can pay 0% on Qualifying Income, but does not get the 0% band on the first AED 375,000 and pays 9% on other income. Consulting income may or may not be Qualifying Income, which is a question for your UAE tax adviser and the free zone authority.
It also brings obligations. A free zone company incorporated after the 2024 registration decision took effect must apply to register for corporate tax within three months. Late registration carries a penalty of AED 10,000, and returns and payment fall due within nine months of the tax period end.
What it costs to set up
DBC packages start from USD 1,948 (AED 7,150) at Ajman Free Zone and from USD 5,313 (AED 19,500) at Meydan Free Zone, which gives a Dubai address. Visas add to the price. See mydiasporabiz.com/pricing, or use the calculator at mydiasporabiz.com/pricing/calculator.
